Invoice Terms and Conditions
Ownership and Risk
Ownership of goods remains with Skydyne Projects until full payment has been received. Risk of loss or damage transfers to the client upon acceptance of delivery.
Refunds and Exchanges
No refunds will be processed after the completion of a sale. Goods will only be exchanged in accordance with the applicable manufacturer or supplier warranty conditions.
Warranty Administration
Warranties are provided by the original supplier or manufacturer. Skydyne Projects may charge a flat administration fee for handling warranty claims on behalf of the client. Warranties do not cover physical damage, damage caused by extreme conditions, power surges, lightning, or Acts of God.
Suspension of Digital Services
Skydyne Projects reserves the right to suspend digital services if payment is not received within seven (7) days of the due date. Services will be reinstated once full payment has been received, at the discretion of Skydyne Projects management.
Late Payments
If payment is not received within the agreed payment terms, Skydyne Projects reserves the right to take further action to recover outstanding amounts. This may include suspension of services, legal action, and recovery of any costs incurred during the collection process.
Errors and Omissions
Clerical, typographical, or pricing errors are excepted. Skydyne Projects reserves the right to correct such errors without liability.
VAT and Availability
All prices quoted exclude VAT unless expressly stated otherwise. Availability of goods and parts is subject to supplier stock levels.
Limitation of Liability
Skydyne Projects’ total liability for any claim arising from goods or services supplied shall not exceed the total amount paid by the client for those goods or services.
Indemnity
The client agrees to indemnify and hold Skydyne Projects harmless against any claims, damages, losses, or liabilities arising from third-party actions related to the goods or services provided.
Right to Amend Terms
Skydyne Projects reserves the right to amend or update these Terms and Conditions at any time. Continued use of services constitutes acceptance of any such changes.
Goods in Transit
For all goods collected by the client or dispatched via courier, responsibility for insuring the goods during transit rests solely with the client.
Indicative Pricing and Adjustments
Quoted prices are indicative. The final invoice reflects the actual work performed and/or goods supplied. Any changes in scope, additional work, or unforeseen circumstances have been included in the final invoice.
Cancellation of Services
Skydyne Projects reserves the right to cancel services if payment terms are not met or if unforeseen circumstances prevent completion of the services. Clients may cancel services with prior written notice, subject to approval by Skydyne Projects and payment for all work completed to date.
Confidentiality
Both parties agree to keep all confidential, sensitive, or proprietary information disclosed during the course of the project confidential, unless disclosure is required by law.
Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Republic of South Africa. All disputes shall be subject to the exclusive jurisdiction of the South African courts.
Dispute Resolution
In the event of a dispute arising from the services provided or any related invoice, the parties shall first attempt to resolve the dispute through good-faith negotiation. If unresolved, the matter shall be referred to mediation by a mutually agreed mediator. Failing mediation, the dispute shall be submitted to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA). The arbitration decision shall be final and binding. Arbitration costs shall be shared equally unless otherwise determined by the arbitrator.
